Board of Directors
Eurobank Ergasias Services and Holdings S.A. (“Company”) announces that the Boards of Directors (BoD) of the Company and its subsidiary Eurobank S.A. (Bank), at their meetings of April 8th, 2020, appointed Ms. Alice Gregoriadi and Ms. Irene Rouvitha Panou as their new independent non-executive members, in replacement of the resigned independent non-executive members Mr. Richard Boucher and Mr. Nikolaos Bertsos, their resignations being effective as of April 8th, 2020, for an equal term to the remaining term of the resigned members.
Furthermore, the Company’s and the Bank’s BoDs decided at the same meetings the appointment of the independent non-executive Board members Ms. Irene Rouvitha Panou and Mr. Rajeev Kakar, temporarily as members of the Audit Committees of the Company and of the Bank, in replacement of the resigned Mr. Richard Boucher and Mr. Nikolaos Bertsos, who were their members until April 8th, 2020.
Ms. Alice Gregoriadi is a non-executive BoD member of the Hellenic Corporation of Assets and Participations S.A. and has more than twenty years of experience in european credit institutions as well as in consulting services to companies operating in the financial technology sector (FinTech).
Ms. Irene Rouvitha Panou1 holds the position of the BoD Chairman in the telecommunications company Cyta (Cyprus) and has over thirty years experience in the banking sector and in financial services consulting.
By the addition of the two new BoD members the female gender representation in the BoDs of the Company and the Bank is significantly strengthened, in line with the provisions of the Board of Directors Diversity Policy, which has been adopted based on the applicable EU and Greek legal framework as well as the international best practices.
The BoDs and the Management of the Company and the Bank would like to thank Mr. Richard Boucher and Mr. Nikolaos Bertsos for their presence and valuable contribution to Eurobank Group.
Finally, the appointment of the new members of the BoDs of the Company and the Bank will be announced to the next General Meetings of their Shareholders respectively, which will also be called to decide on the election of Ms. Rouvitha Panou and of Mr. Kakar to the Audit Committees of the Company and of the Bank, while regarding the review process of the new members of the BoDs by the Single Supervisory Mechanism of the European Central Bank is concerned, the relevant procedure under the legislative and regulatory framework will be followed.
